Business Dashboard Terms & Conditions

Roots Marketing LLC / Rooting Locals — Effective Date: May 2026 — Last Updated: May 2026

This Business Dashboard Agreement governs your access to and use of the Rooting Locals Business Portal. By registering a business account, claiming a business listing, or accessing the dashboard, you agree to these terms in full. This Agreement is in addition to the General User Terms & Conditions.

01 Parties & Agreement

This Agreement is entered into between Roots Marketing LLC ("Company," "we," "us," or "our") and the individual or entity registering a business account ("Business Owner," "you," or "your"). By accessing the Business Dashboard, you represent that you are authorized to act on behalf of the business you are registering.

02 Business Listing & Account

Upon registration, you may claim one business listing on the Rooting Locals directory. By claiming a listing, you confirm that:

You are the owner, operator, or authorized representative of the business
All business information you submit (name, address, hours, photos, description) is accurate and current
You have the right to use any images, content, or materials you submit
Your business operates in compliance with all applicable local, state, and federal laws

Each account may only be linked to one business. Business associations are permanent and may only be changed by an administrator. To transfer or remove your business association, contact rootsmarketing.llc2026@gmail.com.

03 Subscription & Payment Terms

Access to the Business Dashboard is available through paid subscription plans. By subscribing, you agree to:

Pay all fees associated with your selected plan as invoiced
Monthly subscriptions are billed at the start of each billing cycle
Late or failed payments may result in suspension of dashboard access and listing visibility
Plan upgrades take effect immediately; downgrades take effect at the next billing cycle

All fees are in USD. Prices are subject to change with 30 days written notice.

04 Cancellation & Refund Policy

You may cancel your subscription at any time by contacting us at rootsmarketing.llc2026@gmail.com. Upon cancellation:

Once a billing month has begun, you are responsible for the full monthly payment — no prorated refunds will be issued
Your listing will remain visible on the directory until the end of the paid period
Dashboard access will be deactivated at the end of the current billing cycle
Your business data may be retained in our systems for up to 90 days after cancellation

05 Business Data & Information

By submitting business information through the dashboard, you grant Roots Marketing LLC a non-exclusive, royalty-free license to display, reproduce, and distribute your business information (including name, description, photos, hours, and contact details) on the Rooting Locals platform and in related marketing materials.

You are solely responsible for the accuracy of all business information you submit. We reserve the right to edit or remove listings that contain inaccurate, misleading, or inappropriate content.

06 Events Submission & Approval

Business owners may submit events for listing on the Rooting Locals events calendar. All events are subject to review and approval by Roots Marketing LLC. By submitting an event, you confirm that:

The event information is accurate, including date, time, location, and description
The event is a legitimate activity associated with your registered business
The event complies with all applicable laws and regulations
You have the right to use any images or materials submitted with the event

We reserve the right to deny any event submission at our sole discretion. Approval or denial decisions are final. Approved events are visible to all platform users and generate email notifications to users who have saved your business.

07 Data Collection & Business Analytics

The Business Dashboard collects and displays analytics related to your listing, including:

Number of users who have saved/favorited your business
Customer reviews and ratings submitted by platform users
Event engagement data

This data is collected through normal platform usage by your customers. By using the dashboard, you acknowledge and consent to this data collection. We do not sell your business analytics data to third parties.

Customer reviews and ratings are submitted by real users and reflect their personal opinions. Roots Marketing LLC does not curate, endorse, or guarantee the accuracy of customer reviews. We are not liable for the content of customer reviews.

08 Business Owner Data & Privacy

As a Business Owner, we collect and process your personal information including:

Name and email address used for account registration
Business information you submit through the dashboard
Account activity and usage data
Payment information (processed by third-party payment providers)

Your data is stored securely and used solely to operate your account and the platform. We do not sell your personal information. Data is shared only with third-party services necessary to operate the platform (authentication, email, database) or as required by law.

09 No Liability for Submitted Data

You acknowledge and agree that:

All business information, event details, photos, and other content you submit is your sole responsibility
Roots Marketing LLC is not liable for any consequences arising from inaccurate, misleading, or unauthorized content you submit
You indemnify and hold harmless Roots Marketing LLC from any claims arising from content you submit through the dashboard
We are not responsible for how customers interact with or respond to your listing information

By submitting data through the Business Dashboard, you accept full legal responsibility for its accuracy and appropriateness.

10 Prohibited Business Conduct

Business owners may not use the dashboard to:

Submit false, misleading, or fraudulent business information
List a business you do not own or are not authorized to represent
Solicit or incentivize fake or misleading customer reviews
Submit events that are not legitimate business activities
Use the platform to engage in any unlawful business practice
Attempt to claim a business listing already registered by another owner

Violation of these prohibitions may result in immediate account termination without refund.

11 Intellectual Property

Upon full payment of applicable fees, you are granted a non-exclusive license to use the Rooting Locals platform and associated tools for the purpose of managing your business listing. Roots Marketing LLC retains all ownership of the platform, its underlying code, design, and systems. You may not copy, reproduce, or reverse engineer any part of the platform.

All original content you submit (business descriptions, photos) remains your property. You grant us license to display it as described in Section 5.

12 Platform Availability & Maintenance

We strive to maintain platform availability but do not guarantee uninterrupted service. We are not liable for downtime caused by:

Third-party service providers (hosting, authentication, database, email)
Scheduled maintenance windows
Circumstances beyond our reasonable control (force majeure)
Internet connectivity issues on your end

Planned maintenance will be communicated where reasonably practicable.

13 Termination by Company

Roots Marketing LLC reserves the right to suspend or terminate your Business Dashboard account at any time for:

Non-payment of subscription fees
Violation of any provision of this Agreement
Submission of false or fraudulent business information
Conduct that harms the platform, other users, or the Company's reputation

In cases of termination for cause, no refund will be issued for the current billing period.

14 Limitation of Liability

To the fullest extent permitted by law, Roots Marketing LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Business Dashboard, including but not limited to loss of customers, revenue, or business reputation resulting from:

Customer reviews or ratings posted on your listing
Platform downtime or technical issues
Changes to platform features or algorithms
Actions of other users or third parties

Our total liability to you shall not exceed the total fees paid by you in the three months preceding the claim.

15 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared in the course of this Agreement. This obligation survives termination of the Agreement.

16 Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to your registered address with at least 14 days notice. Continued use of the Business Dashboard after the effective date of changes constitutes acceptance of the revised Terms.

17 Governing Law & Disputes

This Agreement shall be governed by the laws of the State of South Carolina. Any disputes shall be resolved exclusively in the courts of Horry County, South Carolina. In the event of a dispute, both parties agree to attempt good-faith negotiation before pursuing legal remedies.

18 Entire Agreement

This Business Dashboard Agreement, together with the General User Terms & Conditions, constitutes the entire agreement between you and Roots Marketing LLC regarding your use of the Business Dashboard. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
